This half-day workshop online on August 14 from 1-4 pm ET will guide leaders and board members through the foundational elements of competitive compensation design, long-term incentive structures, and best practices during special situations such as major capital raises, M&A, and going public. Each section of the workshop will emphasize the role of the Compensation Committee in promoting strong governance and strategic alignment as companies scale.
Whether you're building your first compensation framework or evolving it to meet the needs of a growing enterprise, this workshop will provide actionable insights to support talent retention, shareholder alignment, and long-term success.

Agenda
Part 1: Establishing a Competitive Compensation Framework (1:00 – 2:00 p.m.)
This session introduces the foundations of compensation philosophy and structure, with a focus on creating competitive cash compensation plans for scaling organizations. It will explore benchmarking best practices and incorporate elements of a Total Rewards approach, including benefits and development opportunities. The session will conclude with governance considerations for compensation committees.
Part 2: Long-Term Incentive Design (2:00 – 3:00 p.m.)
This session will dive into the design and governance of long-term incentive plans, comparing options like stock options, RSUs, and long-term cash plans. Participants will learn how to align incentive structures with company growth stages, assess “holding power” for critical talent, and manage dilution concerns. The conversation will also touch on eligibility criteria and governance roles in overseeing long-term compensation.
Part 3: Special Situations (3:00 – 4:00 p.m.)
This session examines how compensation strategy must evolve during major corporate milestones such as capital raises, M&A, or going public. It will address regulatory disclosure expectations, the treatment of existing equity, and how to professionalize compensation structures for institutional investment. The session will wrap with guidance for boards on navigating these high-stakes transitions effectively.
